general duties of partners are;

1. To be just and faithful to one another
2. To carry on business of partnership for the greatest common advantage of the firm.
3. To render true accounts and full information of all things affecting the partnership to any partner or his legal representatives.

Capital of a limited company is divided into shares of a fixed amount . The amount stated in the Memorandum is known as the Authorized Share Capital .
